I have 24000 articles divided in 6 sections and 35 categories working on Teline II.
Can anyone please mention the steps requiered to move one site from teline II to teline III?
I have asked if i can have both teline II and III installed and then switch to teline III as default but the answer was no
Do i have to delete teline II and install teline III, what happens with my sections and categories?

Personally I have not much experience in the Teline series, but I can tell you for sure that Teline is a template. It isnt got anything to do with your section and categories.
Since your modules must be already setup, I dont think they should be a problem as well. The menus and the configuration might change a bit, so you will have to do the neccesary changes to get it right.

There is no need to delete Teline II, you can directly install teline III via the Installer. Then you will need to use the existing modules that you have to get the site up. Ofcourse the JA Mega Menu is new, so you will need to work on that. So basically you will need to tweak the template.

As mihirc already stated: you can install Jateline III without first deleting Jateline II. In the back-end of your site you can choose which template is default, or for which pages you want to use which template.
Jateline III uses Ja News2, which is different from Ja News or Ja news 1.3.1, so you can install it too; but options in this module are different from Ja News or Ja News 1.3.1.
Jazin-plugin is, as far as I can see, the same as in Jateline II.But…! it is not simple to switch between these templates, because in Jateline III module-positions are different and names of positions are different.
So: you will have to reorganise Menu Assignment for all your modules.In fact you better can make a copy of your site on a test-location and there first reorganise menu assignment of your modules, and experiment with the new ones wich come with Jateline III.
For this general technique you better can seek help on Joomla-forum, where you can find documentation and a lot of posts about this process.

you need to re-categories your articles as i did on the website im working on.
re-categories because ja-news2 would be the place for those articles.
